Calgary, Alberta, July 3, 2024–(Business Wire)–Digital Commerce Payments (“DCPayments”)announces that it has completed its previously announced transaction (the “Transaction”) with Jasper Commerce Inc. (TSXV: JPIM) (“Jasper” or the “Company”), a part of the Digital Commerce Group and a prominent financial technology payments provider, pursuant to which Jasper has sold its product information management business and related assets to DCPayments effective June 30, 2024. The Transaction was entered into pursuant to the terms of an asset purchase agreement between Jasper, DCPayments and Jasper Interactive Studios Inc. (“JISI”), a wholly owned subsidiary of Jasper, as the seller.
Pursuant to the transaction, JISI sold all of its assets to DCPayments for gross proceeds of up to $1.5 million (subject to certain customary purchase price adjustments) and received a revenue earn-out based on the maximum transaction consideration over a period of three years following the closing of the transaction.
The acquisition of Jasper's product information management business, which makes it easier to organize inventory data online, is a strategic addition to DCPayments' core payments business, which facilitates electronic payments for corporate customers.
